These Terms of Service ("Terms") govern the relationship between YIMBRIC SAS ("YIMBRIC", "we"), a French simplified joint-stock company registered at 78 Rue Sully, 69006 Lyon, France, SIREN 105 427 538, and any business or individual ("Client") engaging YIMBRIC for software development services.
By signing a Statement of Work or Project Agreement, or by making payment for YIMBRIC services, the Client agrees to these Terms.
YIMBRIC provides custom software engineering services including web application development, mobile application development, SaaS platform development, API integrations, business automation and software maintenance. The specific deliverables, timelines and fees for each engagement are defined in a separate Statement of Work (SOW) or Project Agreement.
Retainer engagements are invoiced monthly in advance. Payment is due within 14 days of invoice date.
Fixed-price projects follow the payment schedule defined in the relevant SOW, typically: 40% on project start, 30% at mid-point milestone, 30% on delivery. Fixed-price projects start at €3,000.
All prices are in euros (EUR) and exclude French VAT (TVA) at 20%, which will be added to invoices where applicable.
Late payments accrue interest at 3× the European Central Bank rate plus 10%, as per French commercial law (L.441-10 of the Commercial Code). A flat-rate recovery fee of €40 is applied per late invoice.
We process payments via Stripe. By providing payment details, you agree to Stripe's Terms of Service.
Upon receipt of full and final payment, YIMBRIC assigns to the Client all intellectual property rights in the custom deliverables created specifically for that project, excluding:
Until full payment is received, YIMBRIC retains all rights to deliverables. The Client receives a limited licence to use deliverables for testing purposes during development.
YIMBRIC retains the right to reference the project in its portfolio and marketing materials unless the Client requests confidentiality in writing.
Both parties agree to keep confidential all non-public information received from the other party in connection with the engagement. This obligation survives termination by 3 years. Confidential information does not include information that becomes publicly known through no breach of this agreement, or information independently developed by the receiving party.

Delays caused by the Client's failure to fulfil these responsibilities may result in timeline adjustments or additional fees.
YIMBRIC warrants that services will be performed with reasonable skill and care, and that deliverables will substantially conform to agreed specifications for 90 days after delivery.
To the maximum extent permitted by applicable law, YIMBRIC's total liability to the Client for any claim shall not exceed the total fees paid by the Client in the 3 months preceding the event giving rise to the claim.
YIMBRIC is not liable for: indirect or consequential losses, loss of profits, loss of data, loss of business or reputational damage, or failures caused by third-party services (hosting, APIs, infrastructure).
Retainer agreements may be terminated by either party with 30 days' written notice. Fees are due for the full notice period.
Fixed-price projects may be terminated by the Client with payment of all work completed to date plus a cancellation fee of 20% of the remaining project value.
YIMBRIC may terminate immediately if the Client fails to pay an overdue invoice within 30 days of notice, or engages in conduct that is unlawful, abusive or harmful.
Upon termination, YIMBRIC will deliver all completed work to date. Sections on IP, confidentiality and payment obligations survive termination.
These Terms are governed by French law. The parties agree to attempt resolution of any dispute through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the Commercial Court of Lyon (Tribunal de Commerce de Lyon).
We may update these Terms. We will notify active Clients by email at least 30 days before changes take effect. Continued use of our services after that date constitutes acceptance.
